The terms used herein shall, unless the context otherwise stated, bear the same meaning as those defined in the announcements dated 25 April 2012, 30 April 2012 and 11 May 2012 in relation to the Proposals.
We refer to the announcement dated 25 April 2012 on the above.
On behalf of the Board of Directors of ManagePay, OSK Investment Bank Berhad (“OSK”) wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) had, vide its letter dated 15 May 2012, resolved to approve the following:
(i) Admission to the Official List and the listing and quotation of 183,031,190 Warrants to be issued pursuant to the Proposed Rights Issue With Warrants;
(ii) Listing of 183,031,190 new ManagePay Shares to be issued pursuant to the exercise of the Warrants; and
(iii) Listing of 183,031,190 new ManagePay Shares to be issued pursuant to the Proposed Rights Issue With Warrants.
The approval granted by Bursa Securities for the Proposed Rights Issue With Warrants is subject to the following conditions:
(i) ManagePay and OSK must fully comply with the relevant provisions under the ACE Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposed Rights Issue With Warrants;
(ii) ManagePay and OSK to inform Bursa Securities upon the completion of the Proposed Rights Issue With Warrants;
(iii) ManagePay to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Rights Issue With Warrants is completed; and
(iv) ManagePay is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of the Warrants as at the end of each quarter together with a detailed computation of listing fees payable.
